This TechSoup Connect Host Agreement (this “Agreement”) is executed between the TechSoup Connect host (“I” or “me”) and TechSoup Global, a California nonprofit public benefit corporation with offices at 435 Brannan Street, Suite 100, San Francisco, CA 94017 (“TechSoup”).
TechSoup is a 501(c)(3) public charity whose mission is to build a dynamic bridge that enables the design and implementation of technology solutions for a more equitable planet.
TechSoup Connect (the “Program”) is a program of TechSoup that is largely operated through the power of volunteer organizers (each a “Host”), who are the face of the Program in their respective communities. Hosts contribute to building the social, technical and economic capacity of civil society actors in their local communities. Hosts create safe spaces for people to learn and connect with others, working towards the elimination of any explicit and systemic barriers to participation, be they technical skill, sexual orientation, race/ethnicity, or economic status, and invite anyone interested in working at the intersection of technology and civil society to be members of the Program.
I desire to volunteer for TechSoup as a Host and engage in activities related to the Program (the “Activities”) as more fully described in this Agreement. I understand that as a volunteer I will receive no compensation or remuneration for my services and will not be eligible for employee benefits. I acknowledge that I am not an employee, agent, or contractor of TechSoup.
I hereby agree to the following terms:
- Responsibilities. I agree to fulfill the responsibilities for TechSoup Connect Hosts set forth in the TechSoup Connect Playbook (the “Playbook”), currently located at: https://techsoupconnect.zendesk.com/.
In addition, I agree to the following:
- I will not at any time make, publish or communicate to any person or entity or in any public forum any defamatory or disparaging statements regarding TechSoup or its partners.
- I will not use the Program for: i) lobbying or propaganda directed at influencing public policy decisions of any government or locality or ii) educating, training, or informing audiences of any partisan policy or practice, or candidate for office.
- I have read, understand, and agree to TechSoup’s Event Terms of Use.
- I will I comply with all applicable local laws, orders, guidelines and directives related to COVID-19.
- I will not engage in activities unlawful under the laws of the United States, its states, and any subdivisions thereof, and/or the laws of the jurisdiction in which I conduct my work.
- I will comply with U.S. Executive Orders and laws prohibiting the provision of resources and support to individuals and organizations associated with terrorism and the terrorist related lists promulgated by the U.S. government. I will use reasonable efforts to ensure that the Activities do not support or promote terrorist activity or related training, or money laundering.
- I will adhere to U.S. Executive Orders and laws prohibiting the provision of certain resources and support to individuals and organizations associated with sanctions from the U.S. Department of Treasury’s Office of Foreign Assets Control (“OFAC”).
- I understand that either TechSoup or I may terminate or put on hold this Agreement at any time upon written notice to the other party. Upon termination, I will continue to comply with the non-disparagement obligations in Section 1.1 above.
- Assumption of Risk. I am aware and understand that the Activities may be inherently dangerous and may expose me to a variety of foreseen and unforeseen hazards and risks, including the possibility of exposure to and illness from COVID-19. I acknowledge that I am voluntarily participating in the Activities and have considered those risks. I hereby expressly and specifically assume such risks, including any and all risk of injury, harm, illness, or loss that I may incur as a result of my participation in the Activities.
- Release and Waiver. I hereby fully and forever release and discharge TechSoup from, and expressly waive, any and all liability, claims, and demands of whatever kind or nature, either in law or in equity, that may arise from my participation in the Activities. I agree not to make or bring any such claim or demand against TechSoup, and fully and forever release and discharge TechSoup from liability under such claims or demands.
I UNDERSTAND THAT THIS RELEASE DISCHARGES TECHSOUP FROM ANY LIABILITY OR CLAIM THAT I MAY HAVE AGAINST TECHSOUP WITH RESPECT TO ANY BODILY INJURY, PERSONAL INJURY, ILLNESS, DEATH, PROPERTY DAMAGE, OR PROPERTY LOSS THAT MAY RESULT FROM THE ACTIVITIES, WHETHER CAUSED BY THE NEGLIGENCE OF TECHSOUP OR OTHERWISE.
- Media Release. I understand and agree that during the Activities, I may be photographed and/or videotaped by TechSoup for internal and/or promotional use. I hereby grant and convey to TechSoup all right, title, and interest, including but not limited to, any royalties, proceeds, or other benefits, in any and all such photographs or recordings, and consent to TechSoup’s use of my name, image, likeness, and voice in perpetuity, in any medium or format, for any publicity without further compensation or permission. In addition, I grant to TechSoup the right to distribute all Program content I share with TechSoup under a “Creative Commons” license which allows content to be re-published in non-exclusive, non-commercial, non-derivative works, as long as appropriate credit is given and the content is not edited or distorted.
- I understand TechSoup is granting me a limited, non-exclusive, revocable license (the "License") to use the TechSoup Connect name and logo for the duration of this Agreement. The logo may only be used in connection with the TechSoup Connect Program and must follow the guidelines in the Playbook.
- Additional Terms. I hereby agree that this Agreement represents the full understanding between TechSoup and me and supersedes all other prior agreements, understandings, representations, and warranties, both written and oral, between us, with respect to the subject matter hereof. If any term or provision of this Release shall be held to be invalid by any court of competent jurisdiction, that term or provision shall be deemed modified so as to be valid and enforceable to the full extent permitted. The invalidity of any such term or provision shall not otherwise affect the validity or enforceability of the remaining terms and provisions. This Agreement is binding on and inures to the benefit of TechSoup and me and our respective heirs, executors, administrators, legal representatives, successors, and permitted assigns. Section headings are for convenience of reference only and shall not define, modify, expand, or limit any of the terms of this Release.
- Governing Law. I hereby agree that this Agreement is intended to be as broad and inclusive as permitted, and that this Agreement shall be governed by and interpreted in accordance with the laws of the State of California, without reference to any choice of law doctrine. All disputes, controversies or claims between the parties arising from or in relation to this Agreement, including the formation, interpretation, breach, or termination thereof, including whether the claims asserted are arbitrable, will be referred to arbitration in accordance with the Comprehensive Arbitration Rules of JAMS before a single arbitrator jointly selected by the parties or, if the parties are unable to agree, by JAMS. The arbitration hearings will be conducted in the English language and will take place in San Francisco, California.
I ACKNOWLEDGE THAT I HAVE READ AND UNDERSTOOD ALL OF THE TERMS OF THIS AGREEMENT AND THAT I AM VOLUNTARILY GIVING UP THE RIGHT TO SUE TECHSOUP.
